Precedents is a new layer in LawY Contracts. LawY already reviews a contract from your client’s side and flags the clauses that carry real risk. Add your firm’s precedent and, for each already-flagged risk, LawY also shows how your precedent handles it, the gap between the two, and a suggested redline drawn from your own tested language.

The most valuable document in the building

A firm’s precedents are its most coveted IP. They’re refined over years often decades and across every level of seniority. Each tweak was made because something happened: a dispute exposed a gap, a negotiation went badly, a clause didn’t hold up. Someone closed that gap with an update to the precedent. The result is a document the lawyer knows, trusts and has tested in the real world. They know exactly what’s in it, how it plays out in a dispute, and which side it favours. Most firms hold variations of the same document a landlord-friendly lease and a tenant-friendly lease and reach for the one that suits the client who just walked in

The problem isn’t the precedent. It’s the moment.

Here’s the catch. When a risky clause actually lands on the desk, that hard-won judgement is rarely at the lawyer’s fingertips. It’s in a senior partner’s head, or in a file the lawyer has tostop and open. So the same questions come up every time: What does our version say? How far is this draft from it? And where do I even start the redline?

Drafting from scratch is hard, and it’s exactly where lawyers procrastinate. LawY already made sure no one starts from a blank screen it flags the clauses that carry real risk and suggests redlines to mitigate them. Precedents takes the next step: it makes those redlines yours.

What we built

LawY Contracts still runs its risk analysis from the perspective of the party you nominate that remains the tool’s paramount consideration. When you add your precedent as context, the analysis gains a layer. For each clause that poses a risk to your client, LawY also explains how your precedent addresses that risk, and how far the document in front of you sits from that position.

Then it redlines. Those suggested changes now draw on words and clauses you’ve previously drafted, trusted and tested. The starting point isn’t just a sensible suggestion it’s your firm’s own language.

Why it’s a genuine value add

Your precedent is your firm’s institutional memory. Anchoring the analysis to it means the tool works the way you already do, rather than asking you to bend your standards to suit the software.

You keep your judgement and your hard-won, well-tested drafting and both get applied more consistently across every matter, and across every lawyer in the team. Juniors get the same reference point a senior partner carries in their head and rarely has time to pass on.
